Terms and Conditions of Sale
Applicable to all IKI PRODUCTIONS services provided to professional clients.
1. Purpose
These General Terms and Conditions of Sale (hereafter "Terms") govern the contractual relationship between IKI PRODUCTIONS, an executive production company specialising in digital content, animation and CGI (hereafter "IKI PRODUCTIONS" or "the Provider"), and any legal entity or professional (hereafter "the Client") requesting consulting, design, production or technical supervision services.
Any order implies the Client's full and unreserved acceptance of these Terms, to the exclusion of any other document.
2. Scope
These Terms apply to all services offered by IKI PRODUCTIONS, in particular :
- the production of paid pitch proposals (brief analysis, creative intention, schedule and budget) ;
- full executive production of CGI, animation or immersive content projects ;
- cost-controlling services and production quote audits.
Services are intended exclusively for a professional clientele (B2B). Provisions of the French Consumer Code relating to sales to individuals do not apply.
3. Orders and formation of the contract
Every order is the subject of a quote or commercial proposal specifying the nature, price, schedule and conditions of the service.
The order becomes firm upon receipt of the quote signed or electronically approved by the Client, together with any payment due at the time of order where applicable.
Orders placed via the website are subject to written confirmation by IKI PRODUCTIONS.
4. Price and payment terms
Prices are expressed in euros excluding tax, plus VAT at the rate in force.
Unless otherwise stated, payment is made as follows :
- 50% on order ;
- 50% on delivery.
Any late payment automatically triggers, without prior notice, penalties at the ECB reference rate plus ten points, along with a flat-rate recovery fee of €40 (Article L441-10 of the French Commercial Code).
5. Intellectual services — deliverables
IKI PRODUCTIONS' services are intellectual services.
Deliverables (documents, plans, images, films, digital files) are provided exclusively in digital form.
Approval of the deliverable by the Client marks the end of the service. Any subsequent modification is subject to an additional quote.
6. Intellectual property
Studies, concepts, scripts, visuals, mock-ups, source files and, more generally, all creative work produced by IKI PRODUCTIONS remain its exclusive property until the invoice is paid in full.
The assignment of exploitation rights (reproduction, performance, adaptation, distribution) only takes effect after payment in full and within the limits set out in the quote.
In the absence of specific provision, the assignment is limited to uses directly related to the commissioned project, for the duration and territory defined in the quote.
7. Client obligations
The Client undertakes to provide all information and approvals necessary for the proper performance of the service.
Any delay or change attributable to the Client may result in a revision of the schedule and price.
8. Liability
IKI PRODUCTIONS undertakes to perform its services in accordance with best practice.
Its liability, in the event of proven fault, is limited to the total amount excluding tax of the order concerned.
It cannot be held liable for any indirect damage or loss of business.
9. Force majeure
Neither party may be held liable in the event of force majeure within the meaning of Article 1218 of the French Civil Code.
If the impediment continues beyond 60 days, either party may terminate the contract without compensation.
10. Confidentiality
Information exchanged in the course of the services is strictly confidential.
IKI PRODUCTIONS may, however, cite the Client's name and the nature of the project in its commercial references, unless the Client objects in writing.
11. Termination
In the event of a serious breach not remedied within 15 days of formal notice, the aggrieved party may terminate the contract as of right, without prejudice to sums owed for services already performed.
12. Governing law and jurisdiction
These Terms are governed by French law.
Any dispute relating to their interpretation or performance falls within the exclusive jurisdiction of the courts of Paris.
13. Acceptance
Approval of the quote or payment for the service constitutes full acceptance of these Terms.
